Master Service Agreement (MSA) / Terms of Service

This Master Service Agreement ("MSA") and Terms of Service govern your use of QiAlly LLC services. By engaging our services, you agree to these terms.
1. Scope of Services
QiAlly provides consulting and professional services including but not limited to:
- Tax preparation and planning
- Bookkeeping and accounting services
- HR consulting and operations management
- IT systems consulting and automation
- Individual document preparation and administrative support
- QiAlly 360 Business Consulting (comprehensive consulting including knowledge bases, client portals, websites, HR, workers' comp, tax & accounting)
Limitations: Services are provided as consulting and preparation assistance. We are not a law firm and do not provide legal representation. Tax services are provided as preparers, not as CPAs unless specifically stated.
2. Payment Terms
- Payment Schedule: Payment terms will be specified in individual service agreements or invoices.
- Late Fees: Invoices unpaid after 30 days may incur a late fee of 1.5% per month.
- Cancellation: Services may be cancelled with 30 days written notice. Work completed up to cancellation date is billable.
- Refunds: Refunds are provided only for services not yet rendered, at our discretion.
3. Data & Confidentiality
- Confidentiality: All client information is treated as confidential and is not shared with third parties except as required by law or with explicit client consent.
- Data Storage: Client data is stored securely using industry-standard encryption and security practices.
- Client Responsibilities: Clients are responsible for providing accurate, complete information in a timely manner.
- Third-Party Tools: We may use third-party tools (Zoho, cloud storage, communication platforms) that have their own privacy policies.
4. Liability & Disputes
- Liability Limits: Our liability is limited to the amount paid for the specific service in question.
- No Guarantees: While we strive for accuracy, we cannot guarantee specific outcomes (e.g., tax refund amounts, approval of immigration forms).
- Dispute Resolution: Disputes will first be addressed through direct communication. If unresolved, disputes will be handled through binding arbitration in Indianapolis, IN.
- Indemnification: Clients agree to indemnify QiAlly against claims arising from inaccurate information provided by the client.
